These Terms & Conditions (“Terms”) govern your access to and use of Dash3 Inc.’s websites, mobile applications, software, and services (“Dash3”, “we”, “us”, “our”, “Platform”, or “Services”), including Dash3 Events. By accessing or using our Services, you agree to be bound by these Terms and all applicable laws.
If you do not agree with these Terms, you must discontinue use of the Services.
A separate Privacy Policy explains how we collect, use, and share personal information.
1. Definitions
“User” or “you” means an attendee, ticket purchaser, event organizer, staff member, sponsor, donor, bidder, vendor, or any individual or organization accessing the Services.
“Organizer” means the individual, business, charity, association, or other organization responsible for creating or managing an event through Dash3.
“Content” means data, text, images, logos, attendee names, ticket information, event details, auction listings, sponsor materials, or other content submitted or displayed through Dash3.
2. Eligibility
To use Dash3, you must:
- Be at least 18 years old or have legal parental or guardian consent
- Have the legal capacity to enter into binding agreements
- Use the Services in accordance with these Terms
3. Your Account
When creating a Dash3 account, you agree to:
- Provide accurate and complete information
- Keep your login credentials secure
- Be responsible for activity occurring under your account
- Notify Dash3 if you believe your account has been accessed without authorization
Dash3 may suspend or terminate accounts that violate these Terms or pose security, legal, or fraud risks.
4. Use of the Services
You may use Dash3 only for lawful purposes. You agree not to:
- Interfere with or disrupt the Platform
- Attempt to access systems, events, data, or accounts that are not yours
- Use Dash3 to engage in fraud, harassment, discrimination, or other unlawful conduct
- Upload malicious code or use unauthorized scraping or automation tools
- Misrepresent your identity, organization, event, products, or affiliation
- Use the Services in a way that infringes the rights of others
Dash3 may update, modify, suspend, or discontinue parts of the Platform from time to time.
5. Event Registrations, Tickets, and Payments
5.1. Payments
Ticket purchases, registrations, sponsorships, donations, auction payments, upgrades, and other event transactions may be processed through third-party payment providers such as Stripe. You acknowledge that:
- Payment information is handled by the payment processor
- Dash3 does not store full credit card numbers
- Prices, taxes, fees, and totals are displayed during checkout
- A completed payment does not alter event rules or admission requirements established by the Organizer
5.2. Tickets and Admission
Tickets and confirmations may be delivered electronically. You are responsible for providing accurate recipient information and protecting ticket codes from unauthorized use. Organizers control admission, capacity, age restrictions, schedules, seating, and event-specific rules.
5.3. Refunds and Cancellations
Unless otherwise stated during checkout, refund, cancellation, transfer, and exchange policies are determined by the Organizer. Processing, service, or platform fees may be non-refundable where permitted by law. Dash3 may assist with payment administration but is not the Organizer unless expressly identified otherwise.
5.4. Chargebacks
Fraudulent or improper chargebacks may result in account suspension, ticket cancellation, restriction from future transactions, or liability for disputed amounts and permitted recovery costs.
6. Pricing and Fees
Dash3 may charge technology, service, application, subscription, or payment-related fees. Applicable prices and transaction fees will be disclosed in the relevant agreement or checkout flow. Fees and pricing structures may change with reasonable notice where required by law.
Organizers are responsible for reviewing their event pricing, taxes, payout terms, connected payment account settings, and refund obligations before publishing or selling through an event.
7. Organizer Responsibilities
Organizers using Dash3 agree to:
- Provide accurate event, ticket, pricing, schedule, location, capacity, and contact information
- Honour valid purchases and clearly communicate event-specific policies
- Manage event delivery, staffing, access, safety, cancellations, refunds, and changes
- Obtain any permits, licences, insurance, consents, or approvals required for the event
- Ensure auctions, donations, contests, prizes, sponsorships, and sales comply with applicable laws
- Treat participant information in accordance with Dash3’s Privacy Policy and applicable privacy law
Dash3 is not responsible for event outcomes, cancellations, Organizer decisions, venue conditions, attendee conduct, or inaccurate information supplied by an Organizer.
8. Content You Submit
By submitting Content to Dash3, you grant Dash3 a non-exclusive, worldwide, royalty-free licence to display, transmit, store, format, and use that Content as reasonably necessary to operate, secure, promote, and improve the Services and the applicable event.
You confirm that:
- You own the Content or have permission to use it
- The Content does not infringe the rights of others
- The Content complies with applicable laws and event obligations
Dash3 may remove or restrict Content that violates these Terms or creates legal, security, or reputational risk.
9. Intellectual Property
Dash3 software, logos, branding, designs, graphics, features, documentation, and underlying technology are owned by Dash3 Inc. or its licensors. You may not copy, modify, reverse engineer, sell, sublicense, redistribute, or misuse any part of the Platform except as permitted by law or written agreement.
10. Service Availability
Dash3 works to provide reliable Services, but we do not guarantee continuous, uninterrupted, or error-free operation; compatibility with every device or network; or permanent availability of all data and features. Services may be temporarily unavailable for maintenance, upgrades, third-party outages, or security reasons.
11. Third-Party Services and Integrations
Dash3 may link to or integrate with payment processors, mapping providers, authentication services, wallet providers, email services, Organizer websites, sponsor websites, and other third parties. Those services are governed by their own terms and privacy practices. Dash3 is not responsible for third-party content, availability, policies, or conduct.
12. Limitations of Liability
To the fullest extent permitted by law:
- Dash3 is not liable for indirect, incidental, special, punitive, exemplary, or consequential damages
- Dash3 is not responsible for losses related to event cancellations, Organizer errors, venue conditions, attendee conduct, unauthorized ticket sharing, or third-party failures
- Dash3’s total liability for a claim will not exceed the amount paid directly to Dash3 by you during the 12 months preceding the claim
Some jurisdictions do not allow certain limitations. These limitations apply only to the extent permitted by applicable law.
13. No Warranty
The Services are provided “as is” and “as available”, without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. Event delivery, admission, safety, products, prizes, auction items, refunds, and Organizer representations remain the responsibility of the Organizer or applicable third party.
14. Termination
Dash3 may suspend or terminate access if you violate these Terms, engage in fraud or misuse, create a security risk, fail to pay applicable amounts, or where suspension is required by law. Upon termination, access may be revoked and certain information may be retained as required for legal, financial, fraud-prevention, or operational purposes.
15. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Dash3 Inc., its officers, employees, contractors, and partners from claims, damages, costs, and losses arising from your misuse of the Platform, violation of these Terms, Content you submit, infringement of another party’s rights, or events and transactions for which you are the Organizer.
16. Governing Law
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada. Any dispute will be resolved in the courts of Ottawa, Ontario, unless otherwise required by applicable law.
17. Changes to the Terms
Dash3 may update these Terms from time to time. When changes occur, we will revise the “Last Updated” date and post the updated Terms through our Services. Continued use after an update constitutes acceptance of the revised Terms where permitted by law.
